These Website Terms of Use, the “Terms,” govern access to and use of websites, webpages, forms, documents, and other online content operated by or on behalf of ReForm Composites, Inc. and its current and future subsidiaries and affiliates, collectively, “ReForm,” “we,” “our,” or “us.”

These Terms govern use of the website only. They do not govern purchases, engineering engagements, research and development projects, manufacturing services, testing, quotations, or other commercial transactions.

Commercial transactions are governed by the applicable quote, statement of work, order confirmation, nondisclosure agreement, and ReForm Terms and Conditions of Sale and Services.

Nothing on this website constitutes:

  1. A binding offer or quotation;
  2. Engineering, legal, regulatory, or safety advice;
  3. A guarantee of availability, pricing, performance, or lead time;
  4. Approval of a particular application; or
  5. A modification of an existing agreement.

The exact ReForm entity responsible for a transaction will be identified in the applicable quote, order, statement of work, or invoice.

2. Permitted Use

You may use this website for lawful business and informational purposes, including:

  1. Learning about ReForm;
  2. Evaluating ReForm Products and Services;

Product descriptions, dimensions, properties, test results, performance statements, application examples, photographs, renderings, and technical information may be preliminary, generalized, incomplete, or subject to change.

Photographs, videos, and illustrations may show:

  4. Conceptual configurations;
  5. Representative applications; or

Information provided as part of an established customer project or quotation request may be governed by an applicable nondisclosure agreement and commercial terms.

ReForm does not accept unsolicited inventions, patent ideas, product concepts, process concepts, or proprietary business proposals outside an established written relationship.

Unless protected by a signed nondisclosure agreement or expressly accepted as confidential by ReForm before submission, unsolicited ideas and suggestions may be treated as nonconfidential and nonproprietary.

By voluntarily providing general feedback about the website, Products, or Services, you grant ReForm a nonexclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation.

This provision does not transfer ownership of Customer Materials provided under an applicable commercial agreement.

You represent that you have the right to submit any information or material you provide.

7. Privacy and Security

ReForm’s collection and use of personal information through the website are addressed in its Privacy Policy.

You are responsible for ensuring that information you submit is accurate and that you have authority to provide it.

TO THE FULLEST EXTENT PERMITTED BY LAW, REFORM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

REFORM DOES NOT WARRANT THAT WEBSITE CONTENT IS SUITABLE FOR YOUR APPLICATION OR THAT RELIANCE ON WEBSITE CONTENT WILL PRODUCE A PARTICULAR RESULT.

Products and Services purchased from a ReForm entity are subject only to warranties expressly provided in the applicable commercial agreement.

11. Limitation of Liability and Indemnification

To the fullest extent permitted by law, ReForm Composites, Inc., its subsidiaries and affiliates, and their respective directors, officers, members, managers, employees, agents, contractors, successors, and assigns will not be liable for:

  1. Indirect, incidental, consequential, special, exemplary, or punitive damages;
  2. Lost profits, revenue, business, production, contracts, opportunities, or data;
  3. Business interruption;
  4. Loss caused by reliance on website content;
  5. Loss caused by third-party websites or services;
  6. Unauthorized access, malware, interruption, or data loss; or
  7. Any other loss arising from use of, or inability to use, the website.

To the extent liability cannot lawfully be excluded, the total aggregate liability of all ReForm entities and protected persons arising from use of the website will not exceed one hundred dollars.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

You agree to defend, indemnify, and hold harmless ReForm Composites, Inc., its subsidiaries and affiliates, and their respective directors, officers, members, managers, employees, agents, contractors, successors, and assigns from claims, losses, damages, liabilities, penalties, and reasonable expenses arising from:

  1. Your violation of these Terms;
  2. Your unlawful or unauthorized use of the website;
  3. Information or materials you submit;
  4. Your infringement of another party’s rights; or
  5. Your misuse or misrepresentation of ReForm content, Products, Services, or intellectual property.

This indemnification does not apply to the extent a claim is finally determined to result directly from ReForm’s gross negligence or willful misconduct.

12. Governing Law and General Terms

These Terms are governed by the laws of the State of Maine, without regard to conflict-of-law principles.

Any legal action arising from the website or these Terms must be brought exclusively in the state or federal courts located in Maine. You consent to personal jurisdiction and venue in those courts.

ReForm may revise these Terms from time to time. Revised Terms become effective when posted with a new effective date and apply to website use occurring after that date.

Changes to these Terms do not retroactively modify an existing quote, Order, nondisclosure agreement, or commercial agreement.

These Terms constitute the complete agreement concerning use of the website but do not replace any applicable nondisclosure agreement, quote, Order, license, or Terms and Conditions of Sale and Services.

If a provision is invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective.

Failure to enforce a provision is not a waiver.

You may not assign your rights under these Terms without ReForm’s prior written consent. ReForm may assign these Terms to an affiliate or successor.
